Our Board Charter stipulates that operation of the Board and the executive responsibility for running the business are separate tasks. A clear division of responsibilities at the head of the company ensures a balance of authority. No individual has unfettered powers of decision-making, and no block of individuals can dominate the Board.

The Charter details:

  • Board composition, size and procedures, and pre-requisites and competencies for membership
  • Role and responsibilities of the Board and the balance of powers
  • Separate responsibilities of the Chairman and Chief Executive, and role of the lead independent Director
  • Board committees' governance, and the appraisal and performance of the Board and its committees
